- "Client" or "You" refers to the individual or organization engaging our services
- "We," "Our," or "Us" refers to Summit Collective
- "Agreement" refers to these Terms and Conditions together with any service-specific engagement agreements

2. Acceptance of Terms
By accessing our Website or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our Website or Services.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our Services. By engaging our Services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
3. Service Description
Summit Collective provides professional consulting services in the following areas:
- Strategic planning facilitation for leadership teams
- Change management advisory and support services
- Executive coaching programs for senior leaders
- Related organizational development consulting services
Service details, scope, deliverables, timelines, and fees are specified in individual engagement agreements. These Terms and Conditions apply to all services unless specifically modified in writing by mutual agreement.
Services are provided on a professional consulting basis and do not constitute legal, financial, or medical advice. Clients should seek appropriate specialized counsel for such matters.
4. Engagement Process
Initial Consultation
Service engagements typically begin with an initial consultation to understand client needs and determine service fit. This consultation does not constitute a commitment by either party to proceed with a formal engagement.
Engagement Agreement
Formal service engagements require a written agreement specifying scope, deliverables, timeline, fees, and other relevant terms. Work begins only after both parties have executed the engagement agreement.
Client Responsibilities
Clients are responsible for providing timely access to necessary information, personnel, and resources required for service delivery. Delays caused by unavailable information or personnel may affect project timelines.
5. Fees and Payment
Service fees are specified in individual engagement agreements. Unless otherwise stated:
- Strategic planning facilitation engagements are billed upon completion
- Change management support is billed monthly
- Executive coaching programs are billed monthly
Payment Terms
- Payment is due within 30 days of invoice date unless otherwise specified
- All fees are in Singapore Dollars (SGD)
- Fees are inclusive of Goods and Services Tax (GST) where applicable
- Late payment may incur interest charges of 1.5% per month or the maximum permitted by law
Expenses
Unless included in the quoted fee, reasonable expenses incurred for service delivery (such as travel costs for off-site facilitation) will be billed separately with prior client approval.
6. Confidentiality
We maintain strict confidentiality regarding all client information, including:
- Information disclosed during service delivery
- Content of facilitation sessions and coaching discussions
- Strategic plans, business information, and organizational data
- Personal information shared during engagements
Confidentiality obligations continue after engagement completion and are subject to professional standards for consulting and coaching practice.
Exceptions to confidentiality include situations where disclosure is required by law or with explicit client consent.
7. Intellectual Property
Our Materials
We retain all intellectual property rights to our methodologies, frameworks, templates, and other proprietary materials used in service delivery. Clients receive a limited license to use materials provided during engagements for internal purposes only.
Client Materials
Clients retain all rights to their pre-existing intellectual property and data. Work products created specifically for a client during an engagement (such as strategic plans or assessment reports) belong to the client upon full payment.
Website Content
All content on our Website, including text, graphics, logos, and images, is protected by copyright and other intellectual property laws. Unauthorized use is prohibited.
8. Limitations and Disclaimers
Service Limitations
Our services are provided on a professional consulting basis. We do not guarantee specific outcomes or results from our facilitation, advisory, or coaching services. Organizational outcomes depend on multiple factors beyond our control, including client implementation actions and external market conditions.
Professional Advice Disclaimer
Our services do not constitute legal, financial, tax, medical, or other specialized professional advice. Clients should consult appropriate licensed professionals for such matters.
Website Disclaimer
Our Website is provided on an "as is" basis. While we strive for accuracy, we make no warranties regarding the completeness, reliability, or accuracy of website content. Website availability may be interrupted for maintenance or technical reasons.
9. Limitation of Liability
To the maximum extent permitted by Singapore law:
- Our total liability for any claim arising from service delivery shall not exceed the fees paid for the specific engagement giving rise to the claim
- We are not liable for indirect, consequential, or incidental damages, including lost profits or business opportunities
- We are not liable for damages resulting from client's failure to implement recommendations or from factors beyond our reasonable control
These limitations do not apply to liability that cannot be excluded under Singapore law, such as liability for fraud or willful misconduct.
10. Indemnification
Clients agree to indemnify and hold harmless Summit Collective, its employees, and contractors from claims, damages, or expenses arising from the client's use of our services, violation of these terms, or infringement of third-party rights.
11. Termination
By Client
Clients may terminate an engagement with 30 days written notice. Fees for work completed up to the termination date remain payable.
By Us
We may terminate an engagement if: payment obligations are not met, client fails to provide necessary cooperation, or continuation would violate professional standards.
Effect of Termination
Upon termination, confidentiality obligations continue, outstanding fees become immediately due, and work products completed to that point may be delivered upon payment of fees owed.
12. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or other force majeure events. Affected obligations will be suspended during the force majeure period.
13. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of Singapore courts.
Informal Resolution
Before initiating formal proceedings, parties agree to attempt good faith resolution through direct discussion. Either party may request a meeting to discuss the dispute and explore settlement options.
Mediation
If informal resolution is unsuccessful, parties may agree to mediation before the Singapore Mediation Centre before pursuing litigation.
14. General Provisions
Entire Agreement
These Terms and Conditions, together with any engagement-specific agreements, constitute the entire agreement between parties regarding services and supersede prior understandings.
Severability
If any provision is found invalid or unenforceable, remaining provisions continue in full force and effect.
Waiver
Failure to enforce any provision does not constitute a waiver of that provision or the right to enforce it subsequently.
Assignment
Clients may not assign or transfer their rights or obligations without our prior written consent. We may assign our rights and delegate our duties with notice to clients.
Notices
All formal notices must be in writing and delivered to the addresses specified in engagement agreements or to [email protected].
15. Amendments
We reserve the right to modify these Terms and Conditions at any time. Changes become effective upon posting to our Website with an updated "Last Updated" date.
For active engagements, material changes will be communicated to affected clients. Continued use of services after changes indicates acceptance of modified terms.
Engagement-specific agreements may only be modified by written agreement signed by both parties.
